
The Tata Capital, the financial branch of the Tata group, is preparing for the historic initial public issue (IPO) of $ 2 billion (₹ 17,453 crore) by September 2025. This is in accordance with the Reserve Bank of India (RBI) to list the high-level non-banking financial companies (NBFCs) to the time limit. The company is actively connecting investors through road shows to speed up this issue.
The IPO consists of 47.58 crore equity shares, including 21 crore new shares and a sales offer of 26.58 crore shares by current shareholders. Tata Sons, with an 88.6% stake, will sell around 23 million shares, while the 1.8% stake International Finance Corporation (IFC) will sell 3.58 crore shares. The issue is managed by top investment banks including Kotak Mahindra Capital, Axis Capital and Citigroup.
The financial performance of Tata Capital shows its market strength. In the first quarter of FY 2026 (April-June 2025), its consolidated net profit increased from 120% to ₹ 472 crore to ₹ 1,041 crore, while the total income increased from ₹ 6,557 crore to ₹ 7,692 crore from ₹ 6,557 crore in the first quarter of 2025. As of March 31, 2025, the company’s loan book was ₹ 2.26 lakh crore, making it India’s third largest diversified NBFC.
If successful, this IPO will be the largest in India’s financial sector and the second major listing of the Tata Group after the successful debut of Tata Technologies in November 2023. These funds will strengthen Tata Capital’s Tier-1 capital, which will support the future debt growth and regulatory compliance. Investors are keenly monitoring this high-profile offering, hoping India’s NBFC landscape to get a new look.
